RECM and Calibre Limited (“RAC”) was established in 2009 as a joint venture between Regarding Capital Management Proprietary Limited (“RECM”) (a fund manager) and Calibre Capital Proprietary Limited (a private equity firm). The listing of the non-cumulative redeemable participating preference shares (JSE share code: “RACP”) was successfully completed in June 2010.
RAC made several investments during the first 10 years of its life. In April 2021, most of these investments were spun off through the separate listing of Astoria Investments Ltd, a Mauritian domiciled global investment company. This left the Goldrush Group as RAC’s single largest Asset. On 17 July 2024, the company’s name was formally changed to Goldrush Holdings Ltd to reflect the fact that it is now a holding company for the Goldrush Group.
Structure
Goldrush Holdings is funded through the issue of two types of securities. The ordinary shares are unlisted and held by entities associated with Piet Viljoen and Jan van Niekerk. There are also participating preference shares in issue, which have been listed on the JSE Stock Exchange. The economic interests of the equity and preference shares are the same, although only the ordinary shares have voting power (except in certain special situations).
Originally the participating preference shares traded under the JSE Alpha code RACP, but after 14 August 2024 it trades under the code GRSP.
